What the annual DIR-3 KYC filing actually requires, and how to avoid DIN deactivation.

By Kanoons · 4 min read · Last verified 2025-10-05

Every individual holding a Director Identification Number must file DIR-3 KYC with the MCA every year by 30 September, regardless of whether they currently serve as a director of any company. Missing this deadline doesn't just risk a penalty — it automatically deactivates the DIN, which blocks the director from signing any ROC forms until it's reactivated.

Reactivation requires filing the overdue form plus a flat ₹5,000 penalty, with no daily accrual — but the deactivation itself can cascade into missed filings for any company that director serves, which is the more expensive part in practice. The filing itself uses one of two routes: the full e-Form DIR-3 KYC if any personal details have changed since the last filing, or the simpler web-based DIR-3 KYC-WEB if nothing has changed, both requiring OTP-based mobile and email verification.

The process is genuinely quick once you know which form applies: gather your PAN, Aadhaar, current mobile and email, verify via OTP, and (for the e-Form route) sign with a Digital Signature Certificate. Treating this as a fixed calendar item — rather than something to remember reactively each September — is the single easiest way to avoid the deactivation cycle entirely.
