What a legal notice should contain, how to serve it (Speed Post, courier, email, hand delivery), when to expect a reply, and what to do if the other side ignores you — without turning a letter into reckless litigation.

Summary

A legal notice is a formal written demand: it tells the other side what went wrong, what you want, and by when — and it creates a paper trail before negotiation or court. It is not a court order and it is not magic. A precise notice, served with proof, often settles invoices, employment exits and IP misuse faster than an angry email thread. This guide is a practical format map for Indian business disputes, not a substitute for counsel on your facts. Verified against common Indian civil-practice patterns on 6 October 2026.

  • State facts, breach, relief and deadline clearly; attach key proofs.
  • Serve through a method that yields acknowledgment / tracking.
  • Some statutes require notice before suit; many commercial matters use notice as best practice.
  • Silence or denial both become part of your evidence file.
  • Service path: Legal Notices.

What to put in the notice

BlockContent
PartiesFull names, addresses, GSTIN / CIN where relevant
RelationshipContract date, invoices, employment, IP ownership
FactsChronology without insults or unverified accusations
Breach / causeWhich clause or legal duty failed
Relief demandedPay ₹X, stop using mark, return goods, etc.
DeadlineClear date or “within N days of receipt”
ConsequencesFurther proceedings / remedies without prejudice to rights
EnclosuresContract, invoices, emails, photographs (list them)

Tone: firm and specific. Threats you cannot follow through on weaken credibility.

Service — proof beats theatre

1. Print / PDF the final signed notice (advocate or authorised signatory as appropriate). 2. Send by Speed Post AD or tracked courier to the last known registered office / residential address. 3. Where the contract allows electronic service, send the same PDF by email and retain headers. 4. Diary the deemed-service date from tracking / AD card. 5. File everything in one folder: notice + annexures + postal proofs + any reply.

Mid-article CTA: Draft and send a legal notice with Kanoons → Cross-sell: Legal Agreements, Trademark Objection, Debt Recovery.

  • Cheque dishonour — Negotiable Instruments Act demand-notice timelines
  • Consumer / employment / POSH — forum-specific pre-action expectations
  • IP cease-and-desist — overclaiming can create groundless-threat exposure; be accurate

Frequently asked questions

Is a legal notice mandatory before every lawsuit in India?

No. Some statutes require prior notice (classic example: notice under section 80 of the Code of Civil Procedure before certain suits against government). Many commercial and recovery disputes use a notice as a practical pre-action step even when not strictly mandatory. Specific statutes (for example negotiable instruments demand notice themes) have their own timing rules — match the cause of action to the governing law.

Who can send a legal notice?

The aggrieved party can send it directly, but most business notices are issued on an advocate’s letterhead for clarity of cause of action, relief claimed and without-prejudice positioning. Kanoons helps draft and coordinate notices as a compliance / documentation service — it is not a law firm and does not replace independent counsel for litigation strategy.

How should a legal notice be served?

Use a method that creates proof: registered / Speed Post with acknowledgment, reputable courier with tracking, hand delivery against acknowledgment, and — where the contract allows or practice supports it — email to the last known address. Keep the postal receipt, tracking printout and a copy of the notice in one evidence folder.

How long should I wait for a reply?

The notice itself should state a clear response deadline (often 7, 15 or 30 days depending on urgency and custom). Statutory notice regimes may fix their own periods. Silence after a well-served notice strengthens the paper trail; it does not automatically win a case.

What if the other side replies with a denial?

Treat the reply as part of the dispute record. Decide with counsel whether to negotiate, mediate, issue a rejoinder, or file the appropriate proceeding. Do not escalate publicly on social media while a formal notice exchange is open.
