Overview
A Producer Company is a corporate body formed by a group of farmers, agricultural producers, or rural entrepreneurs to improve income, access to markets, and professional management. It combines the benefits of a cooperative society and a private limited Company, ensuring better governance and profit-sharing among members.
Registered under Section 465(1) of the Companies Act, 2013, a Producer Company operates for the mutual benefit of its members engaged in primary production.
Eligibility / Who Should Apply
- Minimum 10 individual producers or 2 producer institutions can form a Producer Company
- All members must be engaged in agricultural or related activities
- Suitable for farmers, milk producers, handloom weavers, and agri-based businesses
- Minimum authorized capital: ₹1 lakh
Step-by-Step Process
- Digital Signature Certificate (DSC): Obtain DSCs for all proposed directors
- Director Identification Number (DIN): Apply for DIN through SPICe+
- Name Approval: File for Company name with “Producer Company Limited” as suffix
- Drafting of MOA & AOA: Define objectives like production, procurement, or marketing of primary produce
- Filing Incorporation Forms: Submit SPICe+ with ROC including MOA, AOA, and declarations
- Certificate of Incorporation: Issued by Registrar of Companies (ROC) with CIN and Producer Company status

- Address Proof (Utility Bill / Bank Statement)

Post-Registration Requirements
- Apply for PAN, TAN, and GST
- Open a Bank Account in Company name
- Conduct first board meeting within 30 days
- Appoint Auditor and maintain financial records
- File annual returns and financial statements with ROC
Penalties for Non-Compliance
- Non-filing of annual returns attracts ₹100/day penalty
- Directors may face disqualification under Section 164(2) for repeated defaults
- The Company may lose its Producer Company privileges
